Quidco Account Holder Agreement

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE QUIDCO SERVICES  

1. Who we are and how to contact us 

This website and our app Quidco: Cashback and Vouchers ("App") is operated by Quidco Limited ("we", "us", "our" or "Quidco"). We are registered in England and Wales under company number 05498276 and have our registered office at Mony Group House, St. David’s Park, Ewloe, Chester, CH5 3UZ. Our registered VAT number is 396 1551 71.   We are an appointed representative of Mony Group Financial Limited who are registered in England and Wales with company number 03157344. Mony Group Financial Limited is authorised and regulated by the Financial Conduct Authority under FCA registration number 303190. You can check this yourself on the FCA register which can be accessed here.   To contact us, please email us at quidcosupport@quidco.com.. Please note that all communications (including formal notices) sent in accordance with these terms must be sent by email. Important: You must ensure that the email address we hold for you is kept up-to-date and that you have full access to it - we will be sending you important messages there. If you change email address, then you must change the address we hold for you on your account.   If you are making a claim in relation to any cashback which you have (or have not received) please note that you must do so within 45 days of the transaction to which the cashback relates.  

2. What's in these terms? 

These terms tell you the rules for using this website and the App and the services offered by us through each of them (the "Quidco Service(s)").  You must take the time to read and understand these terms before registering for any Quidco Services. By using the Quidco Services, you confirm that you accept these terms and agree to comply with them. If you do not agree to these terms, you must not use any Quidco Services.  We recommend that you print a copy of these terms for future reference.  You should be aware that this Agreement may change from time to time in accordance with Clause ‎4 (We may make changes to the Quidco Services and these terms) below.  

3. There are other terms that may apply to you 

These terms refer to the following additional terms, which also apply to your use of the Quidco Services: 

  • Our Privacy Notice, which explains how we collect, use and store your personal data. 

  • Our Cookie Policy, which sets out information about the cookies on our site. 

If you purchase any third party product or service through the Quidco Services, additional terms may apply between you and the relevant third party. We recommend that you read and understand any third party terms and conditions relevant to your purchase. If you are unhappy with any product or service you have obtained from a third party or have any complaint regarding any third party, you should address your complaint directly to that third party. We are not a party to any of your transactions with third parties (including retailers) and we are not the seller or supplier of, and do not endorse, any of the goods or services that they make available to you. We do not have any of the legal obligations that apply to the sellers of those goods or services.  

4. We may make changes to the Quidco Services and these terms 

We may make changes to these terms and the Quidco Services (including our website and App) from time to time to reflect changes to our users' needs and our business priorities. When we do so, we will post the new version of these terms on our website and App, and the new version of these terms will take effect, and will govern the Quidco Services and your relationship with us: 

  • commencing no less than thirty (30) days after the date of posting (or such later date as we indicate in the relevant posting), if any of the changes are capable of adversely affecting you. If you do not wish to be governed by the new version of these terms, you may notify us on or before the date when the terms are to take effect, and from that date you must cease to use the Quidco Services; or 

  • immediately upon the date of posting (or such later date as we indicate in the relevant posting), if the changes do not adversely affect you - examples of which would include, without limitation, changes to contact details referred to, or the refinement of provisions that are already included, in these terms. 

5. How the Quidco Services work 

The Quidco Services allow you to make purchases from retailers which may qualify for cashback. This includes cashback on your website and app-based transactions, as well as your use of price comparison and gift card exchange services. Unless otherwise indicated, these terms apply to each element of the Quidco Services. Any separate or additional terms for individual Quidco Services are stated below. This is how the Quidco Services work: 

  • We receive a referral fee ("Referral Fee") for qualifying purchases that you make from a retailer (“Qualifying Transaction”). The Referral Fee is payable to us by the retailer once the retailer confirms that a Qualifying Transaction has been made. You can find out more about what purchases may meet the requirements for a Qualifying Transaction here:  

  • Standard Exclusions for Cashback

  • Once we receive the Referral Fee, we will make cashback payments to you in accordance with these terms.  

  • If you make a Qualifying Transaction for which a Referral Fee has been received by us, you will be able to see a positive account balance on your account (a "Balance") which will reflect the applicable cashback rate advertised through the Quidco Services for that Qualifying Transaction. A Balance does not itself represent a sum of money held by us on your behalf. 

  • Subject to any premium retention fee that you must pay to us if you have been enrolled onto a Quidco premium account, the Balance will be converted into a cashback amount ("Cashback") when you request payment of the Balance (“Balance Withdrawal Request”). 

  • Cashback will only be payable to you once all checks relating to such payment have successfully been completed in accordance with our internal policies. See Clause ‎7 (How Cashback works) for more about Cashback. 

When we refer to retailers, we mean sellers and suppliers of goods or services that agree to enter into Qualifying Transactions and pay us Referral Fees. Each Quidco Service works slightly differently: 

  • Quidco cashback service for website and app-based transactions: 

    • you enter a Qualifying Transaction via the Quidco Services with a retailer for an offer that is made through our Quidco Services; 

    • you can find out more here: https://www.quidco.com/how-it-works/ 

  • the Quidco Compare cashback service for price comparison services: 

  • the Quidco Payout service for gift card exchange services: 

    • allows you to receive payment of Cashback in the form of an e-gift card with a payout bonus which you can choose from a selection of retailers. 

For all Quidco Services, each retailer offer is subject to such terms and conditions as the retailer applies to the offer. Our help pages and other service documentation available on the Quidco site provide further information about the Quidco Services. You should consult them should you have any queries or issues about the Quidco Services.  

6. Obtaining an Account 

 You must be at least 16 years of age and be a resident of the UK to register for the Quidco Services. A person may have no more than one account at any time.   You must provide us with accurate and up to date information about yourself when requested from time to time, including: 

  • your name; 

  • your address; 

  • your e-mail address; 

  • proof of identification (such as passport, driving licence); 

  • confirmation of purchases made via the Quidco Services; 

  • details of a bank account, Paypal account, credit card or other account into which you wish to receive payments (your “Cashback Withdrawal Method”) 

Where you have provided us with a Cashback Withdrawal Method, you must: 

  • ensure that you are, and remain, fully entitled to use that Cashback Withdrawal Method; 

  • confirm that you wish to receive Cashback through that Cashback Withdrawal Method; and  

  • ensure that the details of that Cashback Withdrawal Method that you have provided to us are, and continue to be, accurate. You should keep this information updated through your Quidco account. 

Our Privacy Notice contains important information on how we deal with your personal information you provide through your Quidco account, including information derived from activity through your Cashback Withdrawal Method. Please note that your Cashback Withdrawal Method (such as Paypal) may have rules about the maximum or minimum payment that you can receive through that Cashback Withdrawal Method.  

7. How Cashback works 

Once you have successfully completed a Qualifying Transaction for which we have received a Referral Fee, and you have made a Balance Withdrawal Request in accordance with Clause ‎5 (How the Quidco Services work) of these terms, we will pass the related Cashback on to you through your chosen Cashback Withdrawal Method, once all necessary checks (including, but not limited to fraud checks) relating to the payment have successfully been completed in accordance with our internal policies. We cannot pass on a Cashback payment to you until we receive payment from the retailer. We therefore cannot guarantee when you will receive your Cashback payment and any timescales we provide to you are estimates only.  Please note that you will not receive Cashback on every transaction. There are various circumstances in which a transaction with a retailer may not constitute a Qualifying Transaction and in these circumstances, you may not receive Cashback from that transaction. Our help pages provide further information about circumstances where Cashback may not be paid.  There are also various circumstances in which Cashback sums will not appear in your account Balance and will be forfeited to us, including: 

  • where a Referral Fee is received by us but is not attributed to a Qualifying Transaction or associated with your account, such as: 

  • where you were not logged-in to the Quidco Services when making the relevant purchase; or 

  • where you made the relevant purchase through the Quidco Services but did not consent to cookies (where the relevant retailer does not have another method of tracking), meaning we cannot verify that you did so; 

  • the transaction in question is cancelled after it has been entered into, for example where a purchased product is returned or a right to cancel the transaction is exercised; 

  • a Balance is attributed to you or your account, where your account has been: 

  • suspended by us; 

  • associated with any fraudulent activity or any breach of these terms; or 

  • used to make purchases on behalf of, or for the benefit of, any other person; 

  • where a Balance is attributable to your account, but your account has been inactive for more than six months (an account is inactive where the account holder does not log into it);  

  • where we request proof of purchase from you and either you do not provide it, or the proof of purchase shows that the transaction is not a Qualifying Transaction; or 

  • where the Retailer fails to track your cashback or does not provide us with the correct information – in these circumstances you will have no recourse against us though you may have recourse against the Retailer.

8. Our rights in relation to the Quidco Services 

We are the owner or the licensee of all intellectual property rights in and relating to the Quidco Services, including the material published on our website and the App. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.  You must not copy, distribute, show in public or create any derivative work from any element of the Quidco Services, including any material published on our website and App, unless you are properly licensed to do so by us or our licensors. You must not use any part of the content of the Quidco Services for commercial purposes without first obtaining a licence from us or our licensors to do so.  

9. Our rights to use the content you upload 

When you upload any material on our website or App, you grant a worldwide, non-exclusive, royalty-free, transferable licence to: 

  • us to use, reproduce and distribute that material on our website and App, throughout the Quidco Services and in relation to any other interactive services and media in connection with the Quidco Services; and 

  • other users, partners and advertisers in connection to use the material in connection with the Quidco Services. 

10. User-generated content is not approved by us 

Our website and App may include information and materials uploaded by other users. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.  

11. Do not rely on the information on the website and App 

The content on our website and App, and any other information provided to you through the Quidco Services, is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our site. 

Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up to date. 

12. How we may use your personal data 

Our Privacy Notice sets out details of how we handle your personal data and related matters.  

13. We are not responsible for websites we link to 

Where the Quidco Services contain links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources. Accordingly, we have no control over or responsibility for: 

  • the quality, safety, or legality of the goods or services available from retailers;  

  • any offer which is made by any such third party or whether a third party fulfils any advertisement they make on or site; or 

  • whether the retailer can or will supply and pass good title to any goods or services. 

We are not liable for any transactions you make with third parties including (without limitation) all claims and demands relating to transactions (whether completed or uncompleted) with retailers, or goods or services offered for sale or supply, or actually sold or supplied, through or in connection with any transactions with retailers.  You should contact the third party if you have any queries about the contents of any such sites or resources.    

 14. Your obligations relating to use of the Quidco Services 

Our website and App, along with the Quidco Services and any other services provided in relation to the same, are only targeted to, and intended for use by, individuals located in the UK. If you are not located in the UK, you must immediately discontinue use of the Quidco Services. Your account should be used only for purchases made by and for you. You are not permitted to make any purchases through your Quidco Services account on behalf, or for the benefit, of any other person(s). We reserve the right to require proof of purchase to verify that any purchases you make through the Quidco Services are not on behalf of another person and we may cancel a Cashback payment, and/or suspend or terminate your account, if we discover that you made a purchase on someone else's behalf. You must not enter into, or attempt to enter into, any transaction with a retailer or to endeavour to gain Cashback: 

  • by providing personal information belonging to someone else, or a payment method which you are not entitled to use; 

  • by deceptively or unfairly exploiting a retailer's offering; or 

  • in breach of any terms and conditions applied by us or the retailer to that transaction. 

You must not misuse the Quidco Services by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful, or otherwise harmfully interacting with our site or any part of it. You must not attempt to gain unauthorised access to the Quidco Services, the server on which the Quidco Services are stored or any server, computer or database connected to the Quidco Services or any other equipment or network connected with the Quidco Services. You must not interfere with, damage or disrupt any software used in the provision of the Quidco Services or any equipment or network or software owned or used by any third party on which the Quidco Services relies in any way. You must not attack the Quidco Services via a denial-of-service attack or a distributed denial-of-service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Quidco Services will cease immediately. 

You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to the Quidco Services or any other services provided via, or in relation to, the same for any purpose, including the development, training, fine-tuning or validation of AI systems or models. This includes using (or permitting, authorising or attempting the use of): 

  • any "robot", "bot", "spider", "scraper" or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of our site or any data, content, information or services accessed via the same; or 

  • any automated analytical technique aimed at analysing text and data in digital form to generate information or develop, train, fine-tune or validate AI systems or models which includes but is not limited to patterns, trends and correlations. 

The provisions in this clause should be treated as an express reservation of our rights in this regard, including for the purposes of Article 4(3) of the Digital Copyright Directive ((EU) 2019/790). You shall not use, and we do not consent to the use of, the Quidco Services, or any data published by, or contained in, or accessible via, the Quidco Services or any other services provided via, or in relation to, our website and App for the purposes of developing, training, fine-tuning or validating any AI system or model. This clause will not apply insofar as (but only to the extent that) we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us. It is your responsibility to ensure that any material you post to our website or App: 

  • is not defamatory, offensive, or abusive or of an obscene, indecent or menacing nature; 

  • is not intended or likely to cause needless annoyance, inconvenience or distress to any person; 

  • does not contain any computer virus, macro virus, Trojan horse, worm, or anything else designed to interfere with, interrupt, or disrupt the normal operating procedures of a computer or to surreptitiously intercept, access without authority, or expropriate any system, data or personal information; 

  • does not contravene any applicable law or regulation (including, but not limited to, laws governing consumer protection, distance selling, unfair competition, anti-discrimination, false advertising, copyright, trademark and privacy); 

  • does not breach the rights of any person or entity (including any rights or expectations of privacy); 

  • where it constitutes feedback on a retailer, is accurate and fair; and 

  • does not advertise any goods or services. 

We are not liable for the review or monitoring of any such material. If you see or experience anything on the Quidco Services that appears to infringe any of the above requirements, we would like you to inform us by emailing quidcosupport@quidco.com. We are entitled, but not obliged, to withdraw any material from our website and App, which appears in our reasonable opinion to be in breach of these terms. We reserve the right to suspend or terminate your access to the Quidco Services if, in our reasonable opinion, you have breached of any of these terms including, but not limited to, if you upload any material contrary to these terms.  

15. Contact from third parties 

If any of our Retailers with whom you have transacted or an applicable Affiliate Networks contacts us in relation to material or transactions associated with you or your Account, or if we are obliged to so pursuant to law to provide such information, then you agree: 

  • to provide all reasonable information and assistance we may require in connection with responding to that contact; and 

  • to respond promptly and accurately to it, should we pass the message to you for a response. 

16. Additional services 

We or our partners may offer new or additional services through the Quidco Services from time to time. Your use of those services may be subject to additional terms and conditions, which you must comply with. Provided that those terms are notified to you on the Quidco Services in an appropriate manner when you agree to take those services, any failure by you to comply with a material provision of the terms governing those services will amount to a breach of this Agreement.  

17. Operation of the Quidco Service 

We do not guarantee that the Quidco Services (including our website and App,) or any of the content that appears on it, will be uninterrupted or error-free. We may withdraw, modify or suspend the availability of any Quidco Services, or the entirety of them, where we have legal, security, technical or commercial reasons to do so.  We will endeavour to give you 30 days advance notice before taking such action, except where it is necessary to take earlier action for security reasons or because of technical difficulties which adversely affect the Quidco Services. There may also be times when the Quidco Services become inaccessible as a result of technical difficulties. We will use reasonable endeavours to overcome these difficulties where they are within our control.  We will try to ensure that any periods of planned unavailability, which you will be informed of when you access the Quidco Service at the relevant time, are kept to a minimum. For security or other reasons, we may require you to change your password or other information which facilitates access to the Quidco Services. Please note that we will never ask you for your password via email, telephone, or any other means other than through the www.Quidco.com website. You are responsible for maintaining the confidentiality of your username and password.  

18. Liability 

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.  We only provide our site for domestic and private use. You agree not to use our site for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity We warrant that the Quidco Services will be provided with reasonable care and skill with the intention of meeting our specifications for the Quidco Services, but we cannot and do not guarantee that the Quidco Services will meet your requirements. If defective digital content that we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us. We are responsible for losses you suffer caused by us breaking these terms unless the loss is: 

  • Unexpected – it was not obvious that it would happen and nothing you said to us before we accepted your order meant we should have expected it (so, in the law, the loss was unforeseeable); 

  • Caused by a delaying event outside our control; 

  • Avoidable – something you could have avoided by taking reasonable action. For example, damage to your own digital content or device, which was caused by digital content we supplied and which you could have avoided by following our advice to apply a free update or by correctly following the installation instructions or having the minimum system requirements advised by us. 

For the avoidance of doubt we are not liable to you for a failure to send you funds in the following circumstances if: 

  • another person obtains your password or hacks your email accounts and withdraws funds or claims gift cards;  

  • you provide us with incorrect details; or 

  • you attempt to withdraw funds to a closed account. 

19. Other important terms 

We can transfer our contract with you, so that a different organisation is responsible for providing the Quidco Services, but will not do so in such a way as to reduce any guarantees you are given under these terms.  You can only transfer your contract with us to someone else if we agree to it. These terms are between you and us. Nobody else can enforce it and neither of us will need to ask anybody else sign-off on ending or changing it. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply. We might not immediately chase you for not doing something or for doing something you're not allowed to, but that doesn't mean we can't do it later. If you are inactive or do not login for 6 months or more we reserve our rights to remove any balance from your account.  

20. Which country's laws apply to any disputes 

These terms are governed by English law and wherever you live you can bring claims against us in the English courts. If you live in Wales, Scotland or Northern Ireland, you can also bring claims against us in the courts of the country you live in. We can claim against you in the courts of the country you live in.
